Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern access to and use of the TradeOn website and services (“Services”). By accessing or using the Services on behalf of an institution, you represent that you are authorized to bind that institution and that it accepts these Terms.

2. Eligibility and Institutional Use

The Services are intended for regulated institutions and professional market participants only. We may request information to verify eligibility and may decline or terminate access at our discretion.

3. Onboarding and Documentation

  • Completion of our onboarding process

  • Submission of required KYC/KYB documentation

  • Execution of any applicable master service agreements, schedules, or annexes

4. Services

  • Cross-asset value transfer and settlement workflows

  • Evidence-first transaction records and reconciliation files

  • Governance, wallet controls, and audit-ready reporting

5. Your Responsibilities

  • Provide accurate and complete information during onboarding and updates

  • Maintain the confidentiality of credentials and access controls

  • Ensure that only authorized personnel use the Services

  • Comply with all applicable laws, regulations, and internal policies

  • Not use the Services for prohibited or unlawful activities

6. Compliance and Monitoring

  • Request additional information or documentation

  • Delay, decline, or block transactions

  • Suspend or terminate access where required by law, regulation, or risk policies

7. Fees and Payment

Fees, billing terms, and settlement arrangements are defined in separate agreements or schedules. You agree to pay all applicable fees and charges in accordance with those terms.

8. Intellectual Property

All rights in the Services, platform, documentation, and related materials remain with TradeOn and its licensors. No rights are granted except as expressly stated in these Terms or a separate agreement. You may not copy, modify, reverse engineer, or create derivative works except as permitted by law.

9. Confidentiality

Each party must protect the other party’s confidential information and use it only for purposes of the Services, subject to legal and regulatory disclosure obligations.

10. Disclaimers

  • The Services are provided on an “as is” and “as available” basis

  • We do not guarantee uninterrupted or error-free operation

  • We do not provide investment, legal, or tax advice

11. Limitation of Liability

  • Neither party is liable for indirect, consequential, or punitive damages

  • Our aggregate liability arising out of or relating to the Services is limited to the amounts paid by you for the Services during the [preceding X months] under the relevant agreement

12. Suspension and Termination

  • For breach of these Terms or other applicable agreements

  • For legal, regulatory, or risk reasons

  • For non-payment of fees

13. Governing Law and Disputes

  • These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-law rules.
